Our Website is an interactive online service operated by VAL Events Ltd. We are glad you have decided to join our community, and we look forward to your involvement with our Website.
This page details the Terms and Conditions (“Terms”) which govern your use of our Website, and which will apply to the use of the services we offer. You are advised to read them carefully.
PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT IS A BINDING, LEGAL CONTRACT BETWEEN YOU AND VAL. BY REGISTERING FOR, ACCESSING, BROWSING OR USING THE VAL SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS CONTAINED IN THIS AGREEMENT. BY ACCESSING, BROWSING OR OTHERWISE USING ANY PART OF THE VAL SERVICE, YOU ACCEPT, WITHOUT QUALIFICATION OR LIMITATION, THIS AGREEMENT AND THE TERMS CONTAINED IN THIS AGREEMENT. IF AT ANY TIME YOU DO NOT AGREE TO THE TERMS CONTAINED IN THIS AGREEMENT, YOU MAY NOT USE THE VAL SERVICE, AND ACCORDINGLY, MUST IMMEDIATELY TERMINATE YOUR USE OF THE VAL SERVICE.
In these Terms the following definitions shall apply:
“Agreement” - means these terms and conditions.
“Buyer” or “you” - means the buyer of an Item that is sold through the Website.
“Content” - means all postings, messages, text, files, images or other material on the Website, including, without limitation, descriptions of Items and Item profiles;
“VAL”, "us", "we" and "our" - means VAL Events LTD, a limited company registered in England & Wales (registered number 11003877), whose place of business is at 82 Surbiton Road, Kingston-Upon-Thames, Surrey, KT1 2HR, United Kingdom;
“Item” - means any item offered for sale, or to be offered for sale, or sold via the Website;
“Materials” – means any written text or images.
“Game” - means a game unit offered on the website.
“Credits” - means the balance provided to the user against payment to be used for the purchase of privileges made available by VAL in the framework of the offering of games and tournaments.
“Member” – means any individual that has registered on the Website with their email address;
“Players Rules” – means the terms and conditions for anyone playing any game or tournament on the VAL website;
“Policies” – means any additional policies, guidelines or rules applicable to specific services;
“Third Party Sites” – means any website that is not owned by VAL Events Ltd;
“Tournament” – means a competition organised and managed by VAL Events Ltd;
“Tournament Rules” – means the specific rules that apply to specific VAL tournaments;
“UGC” – means user generated content or any content created on, or uploaded to, the Website by a user;
"User" - means anyone using the Website for any reason;
"Website" - means our website http://valhq.com and all the pages, content and sub-domains contained in it.
“VAL Parties” - Any affiliated companies, non-affiliated partners, any of their respective parent companies, affiliates, subsidiaries, officers, directors, employees, agents, third party content providers, sponsors or licensors.
“VAL Service” or “Services” – means any service provided by VAL Events Ltd.
3.1. VAL may at any time change or discontinue any aspect or feature of the VAL Service, including, but not limited to, content, hours of availability, and equipment needed for access or use.
3.2. Certain products, services, and digital content may from time to time be made available to you for purchase through the VAL Service. Those purchases are governed by the Terms of Sale, which are incorporated by reference into this Agreement and made part of this Agreement.
4. Changed Terms:
4.1 VAL reserves the right, at any time and at our sole discretion, to change or modify this Agreement and/or the terms and conditions applicable to your use of the VAL Service, or any part thereof, or to impose new terms, including, but not limited to, adding fees and charges for use. Such changes, modifications, additions or deletions will be effective immediately upon notice thereof, which may be given by any means, including, but not limited to, posting a notice on the Website, updating the date of this Agreement above, by electronic or conventional mail, or by any other means by which you obtain notice thereof. You should periodically check this webpage for any changes to this Agreement. Any continued use of the VAL Service by you after the posting of any such notice will be deemed to constitute your binding acceptance of any such changes, modifications, additions or deletions. If any modification, change, addition or deletion to these terms and conditions is not acceptable to you, your only recourse is to terminate this Agreement and refrain from using and accessing the VAL Service.
5. Jurisdiction and Applicable Law:
5.1. The VAL Service is made available subject to the terms of this Agreement. If you use the VAL Service from:
5.1.1. For residents in Europe and the European Union, then the laws of England and Wales govern the interpretation of this Agreement and apply to claims for breach of it, without reference to conflict of laws principles. All other claims, including claims regarding consumer protection laws, unfair competition laws, data protection and privacy laws and regulations, and in tort, will be subject to the laws of the European Union country (e.g., the United Kingdom, the French Republic, or the Federal Republic of Germany) in which you use the VAL Service. In addition, with respect to jurisdiction, you may choose either the courts of the country (e.g., the United Kingdom, the French Republic, or the Federal Republic of Germany) in which you use the VAL Service, or in the alternative the courts of England and Wales or other court as applicable under the Brussels Regulation EC 44/2001.
5.1.2. For residents in the Rest of the World, If you use this VAL Service from countries other than those listed in sections A, B and C above, then you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable, and you expressly indemnify and hold harmless VAL from any and all claims, loss, injury, damage, or costs arising from your use of the VAL Service to the extent permitted by applicable law. No warranty or representation is made by VAL that the VAL Service or any use of the VAL Service outside of the countries listed in sections A, B and C above complies with any applicable local law. Further your use of the VAL Service and all claims arising out of or related to the VAL Service or this Agreement will, to the extent permitted under applicable law, be subject to the laws of England and Wales, without reference to conflict of laws principles and you consent to the jurisdiction of the courts of England and Wales.
5.1.3. By use of the website you have the opportunity to participate in skill-based competitions. Some may require you to pay an entry fee in order to participate. Some may include an offer of payment to winners as a premium. ALL CONTESTS, TOURNAMENTS, COMPETITIONS AND SWEEPSTAKES ARE VOID AS TO PARTICIPATION IN ANY COUNTRY WHICH PROHIBITS OR RESTRICTS SUCH ACTIVITIES. By your act of registering on the website or participating in any such activity you warrant and represent for VAL’s reliance and that of VAL’s agents and employees and VAL affiliates that you have checked the laws of the country (or other applicable jurisdiction) from which you access the VAL Services, and that with good reason you understand that such activities are not prohibited or restricted by the applicable law. You will not be entitled to any prize or refund if the applicable law prohibits or restricts your participation in these activities. In any event, you access and use the VAL services at your own sole risk and acknowledge that VAL makes no warranty regarding compliance under the law if your country or jurisdiction, of the VAL Services or any of them, and that no representative of VAL has authority to make such a warranty.
6. Membership Eligibility
6.1. Our services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law.
6.1.1. If you are under the age of eighteen (18), please ask your parent or legal guardian to read and accept this Agreement on your behalf before you use the VAL Service. If you (or, if applicable, your parent or guardian) do not agree to this Agreement, then you must not use or access our Services.
6.2. You represent and warrant that you are at least eighteen (18) years old or whose parent or guardian has accepted and agreed to this Agreement, and that all registration information you submit is accurate and truthful.
6.3. Parents/ guardians are jointly liable for all acts (including for purchases and payments) and omissions of their children aged under 18 years when using the VAL Service. VAL recommends that parents and guardians familiarise themselves with parental controls available on devices they provide to their child and accompany their child if aged under 13 years of age when online. Additionally, some of the content on the VAL Service may not be appropriate for individuals under 18 years of age.
6.4. VAL may, in its sole discretion, refuse to offer access to or use of the Website to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Website is revoked in such jurisdictions.
7.1. Only one membership is permitted per person and per email address.
7.2. We will make reasonable endeavours to notify any Member whose email address is used for a new application for membership.
7.3. Members shall keep Usernames and password confidential.
8. Cancellation of Membership
8.1. You may cancel your membership at any time by emailing email@example.com stating Username and requesting cancellation.
9.1. You are responsible for obtaining and maintaining all telephone, computer hardware, software and other equipment needed for access to and use of the VAL Service and all charges related thereto.
10. VAL Service:
10.1. We currently provide you with access to a rich collection of online resources, including various communication and social networking tools, online forums, ladders, tournaments, leagues, news, reviews, personalised content and branded programming. Certain services are presently provided free of charge. Other services including participation in skill-only competitions, contests and tournaments, will require payment of an entry fee and may involve an offer of a premium to winners or successful participants. This bundle of free and paid-for content, services, competitions and other benefits is sometimes referred to as the “VAL Service.”
10.2. We do our best to make your experience with the VAL Service a pleasant one. However, we cannot always foresee or anticipate technical or other difficulties. These difficulties may result in loss of data, personalization settings or other service interruptions. Therefore, you agree that the VAL Services are provided on an “AS IS” and “AS AVAILABLE” basis. VAL does not assume responsibility for the timeliness, deletion, non-delivery or failure to store any user data, communications or personalisation settings.
10.3. VAL reserves the right to change or discontinue, temporarily or permanently, the VAL Service at any time. You agree that VAL will not be liable to you or any third party for any modification or discontinuance of the VAL Service.
10.4. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, or any user of the VAL Service, are those of the respective author(s) or distributor(s) and not of VAL and VAL neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made through the VAL Service and expressly disclaims any and all liability in connection therewith.
10.5. Your use of the VAL Service is at your own risk.
10.6. The VAL Service may include hyperlinks to other websites or services solely as a convenience to you. VAL has no control over, does not endorse and is not responsible for any such Third Party Sites or the information, advertising, products, services or materials contained on or accessible through any such Third Party Sites. You agree that VAL is not liable for any loss or damage which may be incurred by you as a result of the availability of any Third Party Sites or as a result of any reliance placed by you on the completeness, accuracy or existence of any of the information, advertising, products, services or materials contained on or accessible through any such Third Party Sites and your use of any such Third Party Sites or the services provided by them shall be governed by such terms between you and such Third Party sites.
11. Use of the Website
11.1. You shall provide true, accurate, current and complete information about yourself as requested in the Website’s registration forms. Accurate records help us create better services and provide us with opportunities to identify new services or products that may interest you. You agree to update your registration data to keep it current and accurate within a reasonable time after any change to that data.
11.2. You shall use the VAL Service for lawful purposes in compliance with this Agreement only. The VAL Service may include interactive areas or services, such as chat boxes or web forums, in which you or other users may create, post or store content, messages, materials, data, information, text, music, sound, photos, video, graphics, applications, code or other items or materials on the VAL Service. You are solely responsible for your use of such interactive services and shall use them at your own risk.
11.3. You are prohibited from:
11.3.1. Posting, uploading, distributing, publishing or otherwise transmitting through the VAL Service any content or other items that:

126.96.36.199. may infringe or violate any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party (such as music, videos, photos or other materials for which you do not have written authority from the owner of such materials to post on the VAL Service). By posting any such content, you hereby represent and warrant that you have all necessary rights to distribute and reproduce any such content;

184.108.40.206. contain personal information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
220.127.116.11. may be considered threatening, harassing or promoting racism, bigotry, hatred or physical harm of any kind against any group or individual;
18.104.22.168. contain software viruses, corrupted data or other harmful, disruptive or destructive files or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
22.214.171.124. contain or is an unsolicited offer, advertisement, proposal, promotional material, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation, including, without limitation, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, petitions for signatures, or any of the preceding things related to promotional giveaways (such as raffles and contests), and other similar activities; or
126.96.36.199. in the judgment of VAL may be objectionable or which restricts or inhibits any other person from using or enjoying the VAL Service or which may expose VAL or our users to any harm or liability;
11.3.2. Renting, leasing, loaning, selling, reselling, sublicensing, distributing or otherwise transferring the licenses granted in this Agreement;
11.3.3. Impersonating any person or entity, falsely claiming an affiliation with any person or entity, or accessing the accounts of others without permission, forging another persons' digital signature, misrepresenting the source, identity, or content of information transmitted via the VAL Service, or performing any other similar fraudulent activity;
11.3.4. Removing, circumventing, disabling, damaging or otherwise interfering with security-related features of the VAL Service, features that prevent or restrict use or copying of any content accessible through the VAL Service, or features that enforce limitations on the use of the VAL Service;
11.3.5. Reverse engineering, decompiling, disassembling or otherwise attempting to discover the source code of the VAL Service or any part thereof;
11.3.6. Modifying, adapting, translating or creating derivative works based upon the VAL Service or any part thereof;
11.3.7. Using any robot, spider, scraper, crawler or other automated means to access the VAL Service for any purpose or bypass any measures VAL may use to prevent or restrict access to the VAL Service; or
11.3.8. Attempting to indicate in any manner that you have a relationship with VAL that does not actually exist or that VAL has endorsed you or any products or services for any purpose.
The above are examples of prohibited conduct and is not intended to be exhaustive. Any conduct by you that, in VAL’s sole discretion, restricts or inhibits any other user from using or enjoying the VAL Service will not be permitted.
11.4. VAL shall have the right, but not the obligation, to monitor the content of the VAL Service, including profiles and forums, to determine compliance with this Agreement and any Policies and other operating rules established by VAL and to satisfy any law, regulation or authorized government request.
11.5. VAL will make the sole determination as to what content is acceptable in its sole discretion. VAL may include, edit or remove any content at any time without notice, in its sole discretion. Without limiting any other rights or remedies of VAL, any violation of the foregoing shall violate this Agreement and may result in, among other things, removal of the prohibited communications and/or suspension or termination of your rights to use and access the VAL Service.
11.6. We may, in our sole discretion, delete, suspend or deactivate any User account or otherwise terminate or restrict any User’s access to the Website immediately and without notice if we believe that such User has acted inconsistently with the letter or spirit of the Terms. Neither VAL nor its officers or employees shall be liable to any person for any resulting termination or restriction of a User’s access to the Website.
11.7. You understand that, when using the VAL Service, you will be exposed to content from a variety of sources, and that VAL is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such content. You further understand and acknowledge that you may be exposed to content that is inaccurate, offensive, indecent, or objectionable. If you do so object, you should not use the VAL Service. VAL does not pre-screen or endorse any third party content and is not responsible or liable under any circumstances for such content.
11.9. VAL offers its users the opportunity to participate in certain online competitions and tournaments, some of which may have prizes for the winners. If you participate in such online competitions and tournaments, you may be required to sign an Affidavit of Eligibility/Publicity and Liability Release and report as taxable income the value of any such prizes received by you. Eligibility requirements will be disclosed in connection with each online competition and tournament. To collect a prize, you may be required to provide information reasonably requested by VAL. VAL and/or any sponsor who provides a particular prize may report the value of the prize to the relevant tax authorities.
11.10. The VAL Service may include means by which you and other users may share user generated content (UGC). To the fullest extent permitted by applicable law, by submitting any UGC you automatically grant (or represent and warrant that the owner of such rights has expressly granted) VAL a perpetual, worldwide, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, sub-license, create derivative works from and distribute such UGC or incorporate such UGC content into any form, medium, or technology now known or later developed throughout the universe, and agree that VAL shall be entitled to unrestricted use of the UGC for any purpose whatsoever, commercial or otherwise, without compensation (but subject to applicable laws), notice or attribution. You waive and agree not to assert against VAL or any of its partners, affiliates, subsidiaries or licensees, any moral or similar rights you may have in any of your UGC. To the extent the VAL Service permits other users to access and use your UGC, you also grant such users the right to use, copy, modify, display, perform, create derivative works from, and otherwise communicate and distribute your UGC on or through the VAL Service without further notice, attribution or compensation to you. You may only upload your own UGC to the VAL Service or any Product not upload anyone else’s UGC. VAL reserves the right (but has no obligation) to remove, block, edit, move, or disable UGC for any reason in VAL’s sole discretion. Users of the VAL Service create, upload, download and use UGC at their own risk. If you upload or make available to other users your UGC via the VAL Service, we do not control, monitor, endorse or own your UGC, and you are commissioning us to host and make available such UGC subject to the above license.
Complaints about the content of any UGC must be sent to firstname.lastname@example.org and must contain details of the specific UGC giving rise to the complaint.
11.11. It is your sole responsibility to keep your password safe. You are fully responsible for all activity, liability and damage resulting from your failure to maintain password confidentiality and you agree:
11.11.1. to immediately notify VAL of any unauthorised use of your password or any breach of security;
11.11.2. that VAL cannot and will not be liable for any loss or damage arising from your failure to keep your password secure.
11.11.3. not to provide your username and/or password information to any other party other than VAL without our express written permission.
11.12. From time to time VAL and/or an independent contractor of VAL will include within the VAL Services skill-only contests, competitions and tournaments for which an entry fee is required and that include an offer of money or other value as a premium for winners. Other competitions may be free to play and yet offer a premium award to winners. Participation in some contests for which an entry fee is charged may require participants’ enrolment in an augmented membership status on the Website, for which a fee is charged for the enrolment.
12. Website Content
12.1. All Content is the sole responsibility of the person from whom such Content originated, and we do not control, and are not responsible for any user generated content (UGC).
12.3. We do not pre-screen or approve Content, but we shall have a right (but not an obligation) in our sole discretion to refuse, delete, edit or move any Content that is available on the Website for violating the letter or spirit of the Terms or for any other reason at our sole discretion.
13. Access and Interference
13.1. You agree that you will not use any robot, spider, scraper or other automated means to access our Website for any purpose without our express hand-written permission. Additionally, you agree that you will not:
13.1.1. take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
13.1.2. interfere or attempt to interfere with the proper working of our Website or any activities conducted on or with our Website; or
13.1.3. bypass our robot exclusion headers or other measures we may use to prevent or restrict access to our Website.
13.2 You bear all risk of loss for accessing or completing the download of any VAL Service and for any loss of any VAL Service that you have accessed or downloaded, including any loss due to a file corruption or device crash. Any VAL Service may be available for limited periods of time, and/or subject to other access restrictions (including for example, possession of other specific VAL Service(s) for access or use). VAL Services may become unavailable due to potential content provider licensing restrictions or other reasons; VAL will not be liable to you if any VAL Service is or becomes unavailable for download or access, for any reason, to the fullest extent permitted by applicable law.
14. Intellectual Property Rights
14.1. Unless indicated to the contrary, VAL owns all the intellectual property rights relating to the Website, including without limitation, VAL’s logos, the visual interfaces, graphics, design, compilation, information, software, computer code (including source code or object code), services, text, pictures, photos, video, graphics, music, information, data, sound files, other files and the selection and arrangement thereof and all other Materials are protected by copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws (including in your country of residence).
14.2. VAL (or its subsidiaries or affiliated companies and/or third-party licensors) own all rights, title and interest, including, without limitation, all copyrights, in and to any and all Materials contained on the Website under copyright laws and VAL owns all rights, title and interest, including, without limitation, all copyrights, in and to any and all Materials contained on the Website as a collective work under copyright laws.
14.3. Unless otherwise expressly stated in writing by VAL, you are granted a limited, non-exclusive, terminable, non-sublicensable license (i.e. a personal and limited right) to access and use the VAL Service for your own personal use only, provided that, you acknowledge and agree that you do not acquire any ownership rights in or to the VAL Service and/or the Materials by accessing or otherwise using the VAL Service.
14.4. You are not permitted to download, reproduce, copy, resell or exploit for any commercial purposes, any material on the Website, or to use automated means to download data from the Website (including without limitation, spiders, robots, crawlers or data mining tools, but excepting standard internet search engines).
14.5. You are not permitted to decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Website.
14.6. The intellectual property rights in Content uploaded by Users to the Website are retained by the copyright owner, and Content is added to the Website by Users at their own risk.
14.7. We consider any unsolicited suggestions, ideas, proposals or other material submitted to it by Users via the Website or otherwise (other than the Content and the tangible items sold on the Website by users) (collectively, the "Material") to be non-confidential and non-proprietary, and we shall not be liable for the disclosure or use of such Material.
14.8. If, at our request, any User sends Material to improve the Website (for example through the Forums or to customer support), We will also consider that Material to be non-confidential and non-proprietary and we will not be liable for use or disclosure of the Material.
14.9. Any communication by you to us is subject to this Agreement. You hereby grant and agree to grant VAL, under all of your rights in the Material, a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully-paid, sub-licensable and transferable right and license to incorporate, use, publish and exploit such Material for any purpose whatsoever, commercial or otherwise, including but not limited to incorporating it in the systems, documentation, or any product or service, without compensation or accounting to you and without further recourse by you.
15. Limitations on Service
15.1. We may establish limits on the use of the Website and we reserve the right at any time to modify or discontinue the Website (or any part of it) with or without notice.
15.2. We reserve the right to suspend operation of the Website from time to time for any reason, including, without limitation, to enable us to perform system upgrades or maintenance or to resolve technical issues, and we will endeavour to provide reasonable advance notice of such suspension where practicable.
15.3. We shall not be liable to any User or to any third party for any modification, suspension or discontinuance of the Website or the Service or any part of it, including for loss of profit or consequential or incidental loss or damage.
16. Limitation of Liability and Disclaimer
16.1. In no event shall VAL Events Ltd and (as applicable) it’s officers, directors, employees or suppliers be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of your or anyone else in connection with the use of the Website, the VAL services, or this Agreement, including without limitation, lost profits, bodily injury, emotional distress, or any special, incidental or consequential damages.
16.2. The Website and the VAL Services are provided on an "as is" or "as available" basis, and accordingly use of the Website is entirely at the Users’ own risk. Any and all warranties relating to the Website, including, without limitation, any implied warranties as to fitness for a particular purpose and non-infringement of proprietary rights are expressly disclaimed to the fullest extent permitted by law.
16.3. We take reasonable care to ensure that the Website and its electronic communications are virus-free. However, We make no warranty that the Website is free of viruses or other harmful components.
16.4. Each User shall indemnify and hold harmless VAL Events Ltd, its officers, employees, agents and service providers from any claim or demand (including reasonable legal fees and court costs) made by any third party due to or arising out of Content submitted, posted or made available by such User through the Website, or the violation of such User of the Terms or of any rights of any person or organisation.
16.5. You are solely responsible for interactions with others via the Website and you understand that VAL Events Ltd does not in any way screen its users. You agree to exercise caution and good judgment in all interactions with others, particularly if meeting offline or in person.
16.6. VAL does not control the Content provided by users that is made available on http://valhq.com. You may find some Content to be offensive, harmful, inaccurate, or deceptive. There are also risks of dealing with underage persons or people acting under false pretence. In addition to this there may also be risks dealing with international trade. By using the Website, you agree to accept such risks and that VAL (and VAL Events Ltd’s officers, directors, agents, subsidiaries, joint ventures and employees) is not responsible for any acts or omissions of users on the Website. Please use caution, common sense, and practice safe buying and selling when using the Website.
17. Links to Other Sites
17.1. The Website contains links to third party websites. These links are provided as a service and not as an endorsement by VAL of the contents on such third-party websites. We are not responsible for the content of linked third-party websites and do not make any presentations regarding the content or accuracy of materials on such third party websites. Users accessing linked third party web sites do so at their own risk. You agree that VAL shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or resources.
18. Resolution of Disputes and Release
18.1. In the event a dispute arises between you and VAL, please contact VAL Events Ltd.
18.2. Any dispute arising from or relating to the subject matter of this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. Use of the Website is not authorised in any jurisdiction that does not give effect to all provisions of the Agreement, including without limitation, this section.
18.3. Should you have a dispute with one or more users, or an outside party, you release VAL (and its officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
18.4. VAL, for the benefit of users, may try to help users resolve disputes. VAL does so in its sole discretion, and it has no obligation to resolve disputes between users or between users and outside parties. To the extent that VAL attempts to resolve a dispute it will do so in good faith based solely on its policies. We will not make judgments regarding legal issues or claims.
18.5. Without limiting any other remedies, we may, without notice, and without refunding any fees, delay or immediately remove Content, warn Website Members of a User's actions, issue a warning to a User, temporarily suspend a User, temporarily or indefinitely suspend a User's account privileges, terminate a User's account, prohibit access to the Website, and take technical and legal steps to keep a User off the Website and refuse to provide services to a User if any of the following apply:
18.5.2. We are unable to verify or authenticate any of your personal information or Content.
18.5.3. We believe that a User is acting inconsistently with the letter or spirit of our policies, has engaged in improper or fraudulent activity in connection with VAL or the actions may cause legal liability or financial loss to our Members or to VAL Events Ltd.
18.6 If you access content protected with Digital Rights Management (DRM), the software may automatically request media usage rights from a rights server online and download and install DRM updates so that you can view the content.
19. Terms of Sale
19.1. We take all reasonable care to make our Website secure.
19.2. We accept no responsibility for any loss, damages, or theft as a result of or arising from the mis-use of your credit card, debit card or PayPal or other payment or banking details as a result of using our Website as no payment details including your debit/credit card details are held on our Website or Web Servers.
19.3. If you are paying by Paypal you confirm that it is your PayPal account and you have authority to make the payment.
19.4. You must inform yourself and comply with all applicable laws and regulations of the country for which the products are destined. VAL will not be liable for any breach by you of any such laws.
19.5. All prices on the Website for items including Credits, products and services are by default provided in Pounds Sterling (GBP or £).
19.6. All payments for Credits, products or services marketed on the Website are processed using PayPal® or Stripe®, or another secure third party online payment systems that complies with the Payment Card Industry Data Security Standards.
19.7. To participate in a cash-entry match or tournament, you must have sufficient Credits in your account. You may use any Credits that VAL may have already awarded you for promotional purposes, or you can purchase Credits or any applicable fees and charges by PayPal® or other such methods authorised by us, and you agree that;
19.7.1 Such Credits will be deposited into your account only upon actual receipt of funds by VAL;
19.7.2 Minimum and maximum limits may be applied to the amount of Credits that can be purchased, depending upon your history with the Website, the method of deposit, and other factors as determined solely by VAL;
19.7.3 VAL reserves the right to impose or change these Pound amount limitations at any time;
19.7.4 All payments into your account must be from a payment source on which you are the named account holder. VAL also reserves the right to require you to confirm or validate any or all deposits previously made to your account.
19.7.5 You acknowledge that in the case of a dispute regarding the purchase of Credits, products or services, your validation may be used by VAL as evidence of your account deposits;
19.7.6 Credits awarded to, or purchased by, you cannot be withdrawn or refunded;
19.7.7 Credits cannot be translated into money;
19.7.8 Credits should be used within a 12 month time frame. Any unused Credits will become void if it has not been spent within a 12 month period from date of purchase. You are not entitled to the restitution of these credits in the form of renewed credits, nor their purchase value.
19.8. Other than a limited, personal, revocable, non-transferable, non-sublicensable license to use the Credits on the website, you hereby accept that you have no right or title in or to any such Credits, and that we have the absolute right to manage, regulate, remove, control, modify, or eliminate such Credits as we see fit. We shall have no liability to you or anyone else for the exercise of such rights.
19.9. You explicitly acknowledge and agree that the a right to use (license) Credits starts from the moment fees have been paid and that you are able from that moment to use Credits for the intended purpose. You explicitly acknowledge and agree that you lose the right to withdraw from the purchase of Credits.
19.10. We may, from time to time, modify, amend, or supplement our fees, billing methods and terms applicable to Credits or to any purchases, and post those changes in these Terms, in separate Terms of Sale or in other terms or agreements posted on the Website or Service or otherwise provided to you by us. Such modifications, amendments, supplements or Terms of Sale shall be effective immediately upon posting on the Website or Service and shall be incorporated by reference into these Terms. If any change is unacceptable to you, you may terminate your account at any time.
19.11. We are not liable for “hacking” or lost of your virtual goods from your account, however, we may, in our sole discretion, reimburse virtual goods or Credits upon proof that such loss was not due to your inappropriate use. We may limit the quantity of any item or refuse to provide you with any virtual good. Verification of certain information applicable to a transaction may be required prior to our acceptance of your payment. Price and availability of virtual goods are subject to change with no notice. We have no liability with respect to virtual goods or Credits that are gifted to you or provided as an incentive.
19.12. Any attempt to defraud the Website and/or VAL through the use of Credit Cards or other methods of payment, regardless of the outcome, or any failure by you to honour legitimate charges or requests for payment, or confirmation of deposits, will result in immediate termination of your account, forfeiture of any prizes to which you are otherwise entitled, and active pursuit of civil litigation and/or referral for criminal prosecution.
20. Cancellation and Refund (EU customers only)
20.1. If you the Buyer is acting as a consumer (buying the Items other than in the course of a business) then the Regulations shall apply and you may cancel your order for any reason at any time within 7 working days counting from the day after you received the Item, by giving VAL notice in writing.
20.2. If you send a cancellation notice by post, you are advised to obtain and keep evidence of posting.
20.3. When you send a notice to cancel your order to VAL, VAL will confirm receipt of your notice by email and provide you with a returns address and you must return the Item to VAL within 7 days of this email.
20.4. When returning an Item you must pay for the cost of returning the Item.
20.5. The Item must be returned to VAL in the same condition as that in which you received it.
20.6. You are under a duty to take reasonable care of the Item whilst it is in your possession, so we therefore recommend that you package the Item carefully, send it by recorded or special delivery and insure it during transit to ensure that it reaches VAL in good condition.
20.7. VAL will provide you with a full refund of the price of the item within 30 days of cancellation of the order.
21. Returns Policy
21.1. In addition to your right of cancellation under clause 20.1, VAL will refund to you the price for the Item within 30 days of receipt of the returned Item on the following conditions:
21.1.1. you have contacted VAL within 7 days of receiving the Item and received from VAL confirmation of your cancellation.
21.1.2. you have returned the Item to VAL within 7 days of receiving confirmation of your cancellation;
21.1.3. you have paid all postage and packaging for the return of the Item; and
21.1.4. VAL has received the Item from you in the same condition as the Item was sent to you.
21.2. You will not be eligible for a refund of VAL Credits if;
21.2.1. you fail to contact VAL within 7 days of purchasing Credits and have received from VAL confirmation of your cancellation; or
21.2.2. your VAL Credits have been used to enter a tournament or to gain access to another VAL service;
21.3. Returns outside of the timeframes described above may be accepted at the sole discretion of VAL.
21.4. VAL accepts no responsibility for Items sent by the Buyer, which are lost, delayed or damaged in transit.
22.1 VAL may provide you with notice by any means, including without limitation via email, postings on the Websites and VAL Service or changes to this Agreement. Notices emailed to you will be deemed given and received when the email is sent. If you don’t consent to receive notices electronically, you must stop using the VAL Service. All notices to VAL shall be in writing and shall be sent to 82 Surbiton Road, Kingston-Upon-Thames, Surrey, KT1 2HR, United Kingdom and shall be effective on actual receipt by VAL.
24. No Warranty
24.1. VAL, it’s officers, directors, employees, and suppliers provide the Website and services ‘As Is’ and without any warranty or condition, implied or statutory. VAL, it’s officers, directors, employees, and suppliers specifically disclaim any implied warranties of title, merchantability, performance, fitness for particular purpose and non-infringement. In addition, no advice or information (oral or written) obtained by you from VAL shall create any warranty.
25.2. No person other than VAL or you shall have any rights to enforce any of these Terms or any Agreement into which these Terms are incorporated.
25.3. These Terms and the Agreement are governed by the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the English Courts.
26.1. The sections: Introduction, Definitions, General, Changed Terms, Jurisdiction and Applicable Law, Use of Website, Membership Eligibility, Membership, Cancellation of Membership, Equipment, VAL Service, Website Content, Access and Interference, Intellectual Property Rights, Limitations on Service, Limitation of Liability and Disclaimer, Links to Other Sites, Resolution of Disputes and Release, Buying, Cancellation and Refund, Privacy, Notices, No Warranty, Miscellaneous, and Disclosure shall survive any termination or expiration of this Agreement.
27.1. The services hereunder are offered by VAL Events Ltd, located at 82 Surbiton Road, Kingston-Upon-Thames, Surrey, KT1 2HR, United Kingdom.
28. Changed Terms: From time to time, VAL may need to amend this Agreement, for example to reflect or include new products or services, to enhance security for users or because of changes in the law. If VAL makes such a change to this Agreement we will inform you of the particular changes in advance via e-mail no later than thirty (30) calendar days before such changes come into force and you shall be deemed to have accepted these changes (i) unless you have notified us of your objection to such changes within thirty (30) calendar days from the moment of receipt the e-mail notification from us, or (ii) if you use the VAL Service after the changes have entered into force. In the e-mail notification, we will inform you of your right to object, of the applicable notice period and the legal consequences of a failure to object.
